Proud Member of the following:

1. INTRODUCTION: Global Web, Inc., a Utah Company, has created an Internet environment known as Global Web (G-Web). The Lessee, by executing this Agreement, indicates his/her desire to participate in G-Web as presented by CEWebsites.

2. DEMISE AND TERM: CEWebsites leases to the Lessee the Web Pages (the "Pages") on G-Web subject to the terms and conditions set forth in this lease for a term (the "Term") list above, commencing on the date (the "Commencement Date") listed below and expiring on the date (the "Expiration Date") also listed below, unless terminated earlier as otherwise provided in the lease.

3. PAYMENT OF FEES: The Lessee agrees to pay the amounts listed above to CEWebsites pursuant to the following terms.

1. 30% Down Payment and signed contract due at time of Purchase.
2. Remaining Design Fee shall be due thirty days (30) from the Commencement Date.
3. The Monthly Hosting Fee will be due 30 days from the Commencement Date and on the 15th of each month thereafter (we will pro-rate the first bill accordingly).
   1. The first thirty days (30) will not be assessed a Monthly Hosting Fee. The first thirty days (30) shall not be included in the Term, as indicated.
4. In the event the Lessee has not paid within the agreed payment date, CEWebsites will take the following measures.
   1. Issue a reminder (via email and phone) on the 16th of the month. A five day grace period will commence. On the 20th of the month, we will begin assessing a late fee each day until payment is received.
      1. Late fee will be 0.025% of the monthly Hosting Fee
      2. Late fee will be applied to the next issued Invoice.
      3. Late fees are assessed according to “Postal Mark”, not date of check or when CEWebsites received check.
   2. Accounts more than 60 days will have their Websites temporarily suspended until Payment is made in full. (Suspension means removing Website and all pages from the G-Web servers and thus from the Internet.)
5. This Monthly Hosting Fee shall be paid directly to CEWebsites. CEWebsites shall not be responsible for any other monthly fees or charges, including, but not limited to, Domain Name Hosting, Merchant Account Fees, and related bank fees.
   1. CEWebsites will assume responsibility for renewing Domain Name Registration for the Lessee for the length of the Contract.
      1. Applicable to first 2 Domain Names (URLs) only

4. EARLY TERMINATION: The Lessee acknowledges and agrees that Global Web may terminate this Agreement at any time, immediately following the issuance of written notice to CEWebsites and the Lessee, or if in Global Web's sole discretion the Pages or any portion thereof violate generally accepted standards of good taste and acceptable business practices.

5. CONSEQUENCES OF EARLY TERMINATION: Upon the termination of this agreement, CEWebsites will request that Global Web will remove as promptly as possible all of the pages (including product listings and images) from G-Web.

1. Lessee will be Invoiced a Termination Fee of 30% of the total remaining Hosting Fees as per the length of the contract. This fee is assessed regardless as to who initiates termination (CEWebsites, G-Web, or Lessee).

6. INDEMNIFICATION: The Lessee agrees to indemnify Global Web and CEWebsites (including their respective officers, directors, agents, and employees) against and hold them harmless from all costs, expenses, and liabilities arising from or related to the Pages.

7. SEVERABILITY AND WAIVER: Should any provision of the Agreement be held by a court of law to be illegal, invalid or unenforceable, the legality, validity, and enforceability of the remaining provision of the Agreement shall not be affected or impaired thereby. The failure of any party to enforce any of the terms of conditions of the Agreement, unless waived in writing, shall not constitute a waiver of that party's right to enforce each and every other term and condition of the Agreement.

8. GOVERNING LAW: The Agreement shall be deemed to have been entered into and shall be interpreted and governed in all respects by the laws of the state in which the Agreement was signed, as they apply to contracts between residents of that State and to be performed entirely in that State. Except as otherwise provided, all rights of the parties are cumulative and in addition to any rights that a party may have in law or in equity.

9. TAXES: The Lessee agrees to assume full responsibility for the payment of all sales, use, property, excise, duties, or other taxes due upon sale of products and services related to order transactions from buyers using G-Web. The Payment of Fees as indicated in Section 1 of this Agreement are exempt from Sales Tax in the State of Nebraska.

10. NOTICE: Any notice, demand, request, or consent required or permitted by the Agreement shall be in writing and shall be given by certified mail, return receipt requested, or via Federal Express, to CEWebsites.

11. EXPORT CONTROL: The Lessee agrees that it will not export or re-export any of the products or services listed for sale on Global Web's server without the appropriate United States and foreign government licenses.
